CONTENT AGREEMENT
1. INTRODUCTION
1.1 This Content Agreement ("Agreement") between Culturika s.r.o., whose registered office is at 2787/7a, Praha 5 158 00, Czech Republic ("Publisher" or "We"), and You ("you", "your" or "Producer"). "Content" means any images, video, or other materials that you submit to us for consideration for publication on one2fan.comSite. We reserve the right to publish or not publish any Content you submit. You may submit Content to us if you: (1) You are at least 18 years of age; (2) can form a binding contract with us, (3) submit your Content in compliance with this Agreement and all applicable laws. If we need to contact you regarding your submission, we may contact you via the email address, or address you provide.
1.2. By ticking "Accept" where indicated, applying for an account on the or by using our platform, you agree that you shall be bound by this Agreement.
Grant of LicenseBy submitting your Content to us, you grant us a non-exclusive, perpetual, worldwide, royalty-free, transferable, irrevocable license to use, publish, reproduce, modify, adapt, license, sublicense, distribute (and permit re-distribution of), sell, perform, translate, and display your Content. You retain ownership of the copyright in your Content, subject to the Rights granted to us. We reserve the right, in our sole discretion, to (a) edit your Content, (b) benefit commercially from your Content.

Delivery of Materials & BannersPrograms/titles are to be delivered by FTP download/manual upload or any other trusted file transfer software, including delivery by e-mail.
CompensationWe determine the amount of compensation after delivery of the Content if the content is acceptable for us. In case of agreement with the amount of compensation (received by e-mail) from Your side, the Publisher pays for the Content and acquires the right to publish it.
Term & TerminationThis agreement is entered into for an indefinite term. Either party may terminate this memorandum with immediate effect by e-mail. We are under no obligation to modify or delete your Content once it is posted on one2fan.com but reserve the right to do so at our sole discretion.
ConfidentialityNeither Producer nor Publisher shall disclose to any other person (other than their respective employees, agents, or representatives in their capacity as such), any information with respect to the financial terms and provisions of this Agreement except (a) to the extent necessary to comply with the law or the valid order of a court of competent jurisdiction, in which event, the Party making such disclosure shall so notify the other, in writing, within five (5) business days, and shall seek confidential treatment of such information, (b) as part of its normal reporting or review procedure to its parent company, its auditors and its attorneys, provided, however, that such parent company, auditors, and attorneys agree to be bound by the provisions of this Section, (c) in order to enforce its rights pursuant to this Agreement, and (d) to any bona fide prospective purchaser of the stock or assets of such Party.
Commitments You represent and warrant us that (1) you are 18 years of age or older and have provided us with your real name and email address on our submissions form; (2) your Content is an original work created by you that has not been published elsewhere; (3) you own the copyright in your Content; (4) your Content does not contain any express or implied statements of fact that are untrue, false, or misleading; (6) your Content does not infringe the copyrights, trademarks, privacy, publicity or other rights of any third party.
Applicable Law & Jurisdiction Czech law applies to this agreement. If disputes cannot be resolved by mutual agreement, a competent court in the Czech Republic is authorized to take the competence of the dispute.
